1. Overview
RecordPool is a phygital music marketplace that enables creators to release music as blockchain-verified digital assets paired with physical NFC chip cards. These Terms of Service govern your use of the RecordPool platform, including releasing, purchasing, collecting, and streaming music.
By using RecordPool, you agree to these terms. If you do not agree, do not use the platform.
2. Definitions
- Release — A music recording listed on RecordPool, represented as an ERC-721 token on the blockchain
- Creator — A user who creates and publishes releases on RecordPool
- Collector — A user who purchases releases
- Token — An ERC-721 non-fungible token representing ownership of a specific edition of a release
- NFC Card — A physical card embedded with an NFC chip, linked to a token via on-chain attestation
- Attestation — An Ethereum Attestation Service (EAS) record binding a physical NFC chip to a token and its metadata
- Vault — A smart contract that holds tokens for fiat buyers until they claim ownership with a wallet
- Split Contract — A 0xSplits contract that distributes royalty payments to recipients according to defined shares
3. Creator Responsibilities
By releasing music on RecordPool, you represent and warrant that:
- You own or have obtained all necessary rights, licenses, and permissions for the music, artwork, and metadata you upload
- Your release does not infringe on any third party's intellectual property rights, including copyrights, trademarks, or rights of publicity
- All metadata (ISRC, ISWC, credits, licensing) is accurate and complete
- You have the authority to define royalty splits and designate recipients
- You understand that releases are recorded on a public blockchain and cannot be deleted once minted
4. Royalties and Payments
- RecordPool charges a production fee per sale, deducted before royalty distribution
- Remaining proceeds are distributed to the split contract defined at release creation
- Royalty distributions are executed on-chain via 0xSplits contracts
- RecordPool retains a platform share as defined in the royalty split
- Creators and contributors are responsible for collecting their royalties from the split contract
- All payments are denominated in USDC
- RecordPool is not responsible for failed or delayed distributions caused by blockchain network issues
5. Purchasing and Ownership
- Purchasing a release grants you ownership of a specific edition token and the right to stream the associated audio
- Ownership does not transfer copyright or publishing rights — these remain with the creator
- Tokens may be purchased with USDC (via wallet) or fiat currency (via Stripe)
- Fiat purchases are held in the RecordPool vault until claimed by connecting a wallet
- Physical NFC cards are shipped to buyers and serve as proof of purchase
- Limited edition releases have a fixed supply — once sold out, no additional tokens can be minted
6. Content and Licensing
- Creators select a license for each release (e.g., Creative Commons, All Rights Reserved)
- The selected license is recorded in the on-chain attestation and governs how collectors may use the content
- RecordPool does not claim ownership of any content uploaded by creators
- RecordPool may display, stream, and promote releases as part of the marketplace experience
7. NFC Cards and Attestations
- Each physical NFC card is bound to a specific token via an EAS attestation
- Attestations include release metadata, content hashes, and the NFC chip's unique identifier
- Attestations are immutable once recorded on-chain
- Tapping an NFC card verifies authenticity and provides access to the associated release
8. Stream Access
- Preview audio is available to all users without authentication
- Full audio access requires proof of ownership (wallet authentication) or a valid purchase session
- Fiat buyers receive temporary stream access (24 hours) after purchase, renewable via email
- Wallet-based ownership provides permanent stream access with no expiration
9. Prohibited Content
You may not release content that:
- Infringes on any copyright, trademark, or other intellectual property right
- Contains unlicensed samples or unauthorized derivative works
- Is fraudulent, misleading, or misrepresents the creator's identity
- Violates any applicable law or regulation
10. Termination
- RecordPool may delist releases or suspend accounts that violate these terms
- Delisting removes a release from the marketplace but does not affect existing tokens or attestations on the blockchain
- Users may disconnect their wallet at any time — existing tokens and attestations remain on-chain
11. Limitation of Liability
- RecordPool is provided "as is" without warranties of any kind
- RecordPool is not liable for losses resulting from blockchain transactions, wallet security, or smart contract behavior
- RecordPool is not responsible for the accuracy of metadata provided by creators
- Total liability is limited to the amount paid by the user for the specific transaction in question
12. Changes to Terms
RecordPool may update these terms at any time. Continued use of the platform after changes constitutes acceptance. Material changes will be communicated via the platform.
